How custom AI development engagements work.

Scope of these terms

These AI Development Service Terms set the baseline for custom AI agent development and consulting engagements performed by Synergy Services LLC ("Synergy," "we," "us") for business clients. They apply together with — and are completed by — your individual signed agreement or accepted Statement of Work ("SOW").

A signed agreement comes first

No paid custom-development engagement begins until a separate written agreement or accepted SOW is signed by both parties. The individual contract defines, at minimum: pricing and payment schedule, deliverables, revision limits, support scope, intellectual property rights, and termination terms.

Website descriptions, assessments and AI package advisor suggestions are not engagements and create no payment obligation.

Pricing and payment

Setup fees and ongoing management are quoted separately after discovery; we do not publish unapproved prices. The signed agreement states the amounts, schedule, invoicing terms and any usage-based charges (such as platform or API costs) before work begins.

Deliverables, revisions and acceptance

The SOW lists the deliverables, review steps and acceptance criteria. Revisions within the agreed limits are included; work beyond the agreed scope is quoted separately. We test behavior, knowledge boundaries and human handoff before launch.

Your responsibilities

You provide accurate business information, approve the knowledge and instructions the agent will use, and ensure that any access to your systems, APIs or CRM is explicitly authorized. You are responsible for the lawfulness of data you ask us to process.

Intellectual property

Unless the signed agreement states otherwise: you own your business data and the approved business knowledge used in your agent; Synergy retains ownership of its pre-existing tools, frameworks and know-how; and the signed agreement defines ownership of custom deliverables created for you.

Support, changes and termination

Ongoing maintenance is provided only within an agreed support scope. Either party may terminate as set out in the signed agreement; on termination we wind down access in an orderly way and the agreement's payment, confidentiality and IP terms survive.
